Welcome to Celebut. These Terms of Service ("Terms") constitute a legally binding agreement between you, (either personally or on behalf of an entity ("User", "you", or "your"), and Celebut Limited, including its corporate affiliates and subsidiaries ("Celebut", "we", "us", or "our").

Please read these Terms carefully before accessing or using our platform. By creating an account, accessing, browsing, downloading, or otherwise using the Celebut platform, websites, mobile applications, features, proprietary software, or associated services (collectively, the "Services"), you agree to be bound by these Terms and our integrated Privacy Policy. If you do not agree to these Terms, you are strictly prohibited from accessing or using the Services and must discontinue use immediately.

1. About Celebut, Scope of Services, and Limitations

1.1 Platform Description

Celebut operates a global social media and digital technology platform designed to enable users to create, share, and interact with digital content. The platform acts as an interactive digital ecosystem to connect individuals, organizations, and communities globally to facilitate social engagement and share life moments.

1.2 Platform Balance Architecture

The Services include an integrated, proprietary digital ledger that displays a user's internal platform balance ("Celebut Balance" or "Platform Balance"). The Platform Balance does not constitute a checking, savings, or banking account, nor does it function as a generalized "digital wallet" or stored-value instrument.

The Platform Balance is designed and provided solely to fund specific, permitted activities on the platform, including facilitating peer-to-peer (P2P) social gifting and business-to-customer (B2C) creator economy transactions.

Funds in the balance can be used for digital payments, value storage, peer-to-peer (P2P) transfers, and business-to-customer (B2C) transactions. Users can use the platform to celebrate milestones, announce moments, and send or receive celebratory gifts.

Gifts may take the form of direct cash or money transfers, purchases from authorized platform vendors, or donations to a cause specified by the celebrating user.

1.3 Platform Status and Regulatory Limitations

No Custody of Funds: Celebut is a platform owner providing technology services. We are not a banking institution, licensed payment processor, money transmitter, broker, charity, or financial advisor.
Third-Party Processing: We utilize third-party payment service providers to facilitate all monetary transfers. Celebut does not receive, hold, process, manage, administer, or exercise custody or control over contributed funds or gifts. All transactions are processed by third-party payment processors in accordance with their respective operational procedures and terms of service.
No Fund Administration or Fundraising: Nothing in these Terms shall be construed as creating a fund administration or fiduciary relationship between Celebut and any User. We do not solicit gifts on behalf of any user, nor do we act as a fundraiser for any cause promoted on the Services.
Professional Advice Disclaimer: No content on the platform constitutes financial, legal, tax, or other professional advice. For specific advice regarding financial, legal, or tax liabilities, you must consult an independent qualified professional.

1.4 Modification, Suspension, or Discontinuation of Service

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis. Celebut reserves the right to modify, pause, suspend, or terminate all or any portion of the Services at any time, for any reason, at our sole discretion.

While we will make reasonable efforts to mitigate disruptions, we may execute these actions without prior notice when dictated by an emergency, technical necessity, or legal obligation. Celebut disclaims all liability for any issues, losses, or alleged damages resulting from such modifications, suspensions, or terminations.

2. Privacy and Data Protection

2.1 Regulatory Compliance Framework

Celebut is committed to safeguarding the privacy, confidentiality, and security of your personal data. We process and protect personal data in strict compliance with applicable statutory data protection laws within the jurisdictions where Celebut operates, including, but not limited to:

The General Data Protection Regulation (GDPR) (EU) 2016/679;
The UK Data Protection Act 2018 (and the retained UK GDPR);
The Nigeria Data Protection Act (NDPA) and its subsidiary directives, including the General Application and Implementation Directive (GAID); and
Any other applicable region- or country-specific privacy regulations.

2.2 Data Processing and Incorporation by Reference

Our Privacy Policy is fully incorporated into these Terms by this reference. It comprehensively outlines the mechanisms by which we collect, use, process, disclose, store, and safeguard your personal data. By executing this agreement through your continued access to or use of the Services, you acknowledge, understand, and agree to the data processing practices described in the Privacy Policy.

2.3 Cross-Border Data Transfers and Hosting

To maintain our global cloud hosting infrastructure, optimize operational performance, and ensure service redundancy, you explicitly acknowledge and agree that we may transfer, store, and process your content and personal data across international borders. This includes transmission to distributed data centers, corporate affiliates, subcontractors, vendors, and third-party partners located outside your country of residence. Celebut implements appropriate contractual safeguards, adequacy evaluations, and Standard Contractual Clauses (SCCs) where legally required to ensure your data remains protected across all jurisdictions.

3. Eligibility, Account Registration, and Security

3.1 Age Requirements and Restricted Functionality

Full Access (Age 18+): To have unrestricted access to our platform, create an account, or utilize the gifting features, you must be at least 18 years of age at the time of account creation.
Restricted Access (Under 18): Users under the age of 18 may access Celebut with restricted platform functionality on both the website and mobile applications. Certain interactive features, including cash gifts, monetization mechanisms, and public interaction tools, are strictly disabled for this age group.
Parental/Guardian Consent and Liability: In applicable circumstances, minor users must obtain the explicit permission of a parent or legal guardian to access the services. By permitting a child or ward to utilize the Services, the parent or legal guardian agrees to be bound by these Terms and assumes full civil and financial responsibility for the minor's activities on the platform.

3.2 Organizational and Business Accounts

If you register or use an account on behalf of an organization, corporate entity, business, group, or community, you represent and warrant to us that you possess the requisite legal authority to bind that entity. Upon registration, the entity explicitly accepts these Terms in full.

3.3 Account Registration and Verification (KYC)

To utilize the Services, you must complete the registration process by creating a secure account.

Required Information: You must provide accurate, current, and complete information, including your full legal name (as it appears on government-issued documentation), date of birth, email address, telephone number, country of residence, and occupation. We may also require a valid government-issued identification document and any supplementary photos or videos necessary to verify your identity.
Gifting and Regulatory Compliance: To engage in sending or receiving gifts, you must possess a valid account in good standing and complete mandatory identity verification. Additional documentation will be required based on the specific Know Your Customer (KYC) and Anti-Money Laundering (AML) statutory requirements of your country of residence.
Maintenance of Data: It is your sole responsibility to ensure that your account information is kept accurate and updated at all times. This information may be shared with our third-party payment processors to facilitate compliance.
Termination for Falsification: If Celebut or its payment processors discover that you have provided inaccurate, fraudulent, or misleading data, or have violated any terms of service, we reserve the right to immediately suspend, restrict, or permanently terminate your access to the Services. Furthermore, fraudulent registrations may result in referral to relevant governmental law enforcement authorities for criminal prosecution.

3.4 Account Security and Phishing Protection

You are solely responsible for maintaining the strict confidentiality and security of your account login credentials, multi-factor authentication (MFA) parameters, one-time passcodes (OTPs), and verification codes. You assume full responsibility for all activities occurring under your profile.

You agree to comply with the following security mandates:

No Sharing of Credentials: You must not share your passwords, OTPs, or security credentials with any third party, nor input them into any application or website other than official Celebut domains or applications.
Phishing Awareness: You must exercise heightened caution regarding phishing attempts, including malicious emails, SMS text messages, calls, or fraudulent web domains mimicking Celebut. Do not click suspicious links or download unverified attachments. Always access your account directly via the official Celebut mobile application or official web domain.
Mandatory Breach Notification: If you suspect or discover that your account has been accessed without authorization, that your credentials or OTPs have been compromised, or that you have inadvertently disclosed information to a phishing entity, you must promptly update your password credentials and immediately notify the Celebut support team.
Session Management: You must securely log out of your account at the conclusion of each session, particularly when utilizing a shared or public computer hardware device.
Limitation of Liability for Security Breaches: Celebut disclaims all liability for any direct or indirect financial losses, data loss, or damages resulting from your failure to secure your account credentials or comply with these security provisions, except where mandated otherwise by applicable law.

4. Platform Rules, User Content, and Gifting Integrity

4.1 Content Ownership and Licensing

You retain ownership of the intellectual property rights in the user content you generate, post, share, or upload to Celebut. Nothing in these Terms divests you of your rights to your own content, and you remain free to distribute it elsewhere.

However, to provide, promote, and optimize our global Services, you hereby grant Celebut a non-exclusive, transferable, sub-licensable, royalty-free, and worldwide license to host, use, execute, distribute, modify, run, copy, publicly perform, publicly display, translate, and create derivative works of your content, subject to your account privacy and configuration settings. This intellectual property license terminates automatically when your content is deleted from our active production systems.

4.2 Account Preferences and Device Access

To personalize your platform experience, optimize content delivery, and facilitate discoverability, Celebut may utilize data regarding your connections, selected preferences, and on-platform and off-platform activities. Subject to your privacy configurations, we may process this data to recommend content, profile discoveries, synchronized milestone events, sponsored commercial offers, and third-party resources. To achieve this level of curation, you may be required to explicitly grant the platform permission to access specific features, telemetry, or hardware parameters of your device.

4.3 Personalized Celebration Settings and Guidelines

Users may personalize their celebration events according to their personal wishes, traditions, customs, gift preferences, and event-specific protocols. These parameters must be configured within the profile permissions and settings panel.

User Expectations: By opting to participate in or accept a celebration invite, users acknowledge that they are expected to respect the guidelines established by the host user.
Platform Exculpation: Celebut serves strictly as a passive transmission vehicle for sharing these localized preferences. Celebut is under no obligation to enforce compliance with personal celebration guidelines, nor shall it be liable for resolving any civil disputes or deviations arising from a user's bespoke event terms.

4.4 Creator Economy Framework & Gifting Regimes

Digital Gifts Ecosystem: Our Digital Gift feature functions as part of Celebut's creator economy model, allowing users to send interactive gifts to recipients across any jurisdiction in which Celebut operates. All transactions and subsequent payouts are processed exclusively through locally regulated, third-party payment service providers.
Voluntary and Non-Refundable Nature: All cash and digital gifts transferred via the platform are legally deemed voluntary, gratuitous transfers. They are strictly non-refundable, except where explicitly mandated by applicable statutory law. Gifting actions do not establish any reciprocal contractual, commercial, or performance obligations between the sender and the receiver.
Strict Account-Closure Refund Policy: The platform's software architecture does not natively support point-of-sale refunds or transaction reversals. In the event that a refund is sought, or where an exceptional transaction issue occurs, the user is required to formally request account closure, and the refund will be evaluated as part of the account liquidation process. For any transaction involving a significant or atypical amount, Celebut will conduct an internal mandatory security and compliance investigation to ensure that the account closure request is legitimate, free from fraudulent activity, and compliant with local Anti-Money Laundering (AML) controls.
Identity-Matched Withdrawals: Users may withdraw clear, settled balances from their internal Platform Balance. To prevent identity theft and illicit financial structuring, all withdrawals are strictly permitted only to a verified external banking or payment account whose legal registration details match the verified identity of the primary Celebut user profile.
Platform Notifications: Celebut will notify the recipient of a processed gift and display it within the active celebration registry, provided the recipient's privacy configurations permit such visibility. Celebut cannot guarantee or legally compel a recipient to acknowledge, thank, or recognize the gifting user.
Tax Liabilities: Recipients bear exclusive, non-transferable responsibility for evaluating, reporting, declaring, and paying any national, state, or localized taxes arising from cash or digital gifts received through the platform.
Processor Framework: Third-party payment processors are country-specific. By interacting with the gifting ecosystem, you consent to the processing, transmission, use, and disclosure of transaction data by these third-party processors pursuant to both these Terms and the applicable processor's independent terms of service. The terms governing your transactions will be dynamically displayed on the relevant gifting interface.

4.4.1 Identity-Matched and Localized Currency Withdrawals

You may only initiate a withdrawal of clear, settled balances from your internal Platform Balance to a fully licensed, regulated banking institution located within your designated and verified country of residence. All requested withdrawals shall be executed strictly in the official lawful currency of that verified country of residence.

To prevent identity theft, fraud, and illicit financial structuring, the primary legal registration name, account configuration, and compliance details of the destination bank account must identically match and cross-verify with the authenticated identity profile established on your Celebut user account.

Celebut and its third-party payment processors reserve the absolute right to reject, freeze, or cancel any withdrawal request that fails to fulfill these cross-matching and localization parameters.

4.5 Fees, Charges, and Deductions

All peer-to-peer cash transfers, commercial interactions, and digital gift transactions executed within the Services are subject to transactional fees, processing charges, and platform operational fees ("Fees"). These Fees are dynamically calculated based on the user's jurisdiction, the payment method utilized, and transaction volume.

Applicable Fees will be clearly enumerated on the payment generation interface prior to final execution. By completing a transaction, you authorize Celebut and its third-party processors to automatically deduct these Fees directly from the transaction gross volume or from your internal Platform Balance. All paid Fees are non-refundable.

For Creator Payout from Digital Gift: Creators are entitled to receive seventy-five percent (75%) of the Net Digital Gift Revenue. "Net Digital Gift Revenue" means the amount paid by the purchaser after deduction of any applicable VAT, GST, sales tax, or other indirect taxes. Celebut retains the remaining twenty-five percent (25%) as its platform service fee, which includes payment collection, payment processing, and creator payout costs.

4.6 Integrity Monitoring and Fraud Prevention

Celebut does not guarantee the identity, authenticity, or legal intentions of any user account or platform-listed event. Users are strictly required to exercise reasonable care and personal diligence before executing any cash gift. We continuously audit platform events to verify compliance with local laws and these Terms.

If a gift is dispatched to an account subsequently determined by Celebut to be fraudulent, engaged in identity impersonation, or operating in material violation of these Terms, Celebut may, at its sole discretion and where technically and legally feasible, execute the following interventions:

Freeze or suspend the recipient's user account and restrict access to the Platform Balance.
Withhold or restrict withdrawal rights on any unpaid or unsettled cash gifts.
Cancel, claw back, or reverse pending cash gifts that have not yet been formally settled or withdrawn into an external banking network.
Return recovered funds directly to the original sender.

Where funds have already been formally settled, paid out, or withdrawn by the recipient, or are otherwise unrecoverable via standard technical means, Celebut is under no legal obligation to reimburse or indemnify the sender. Celebut will, however, take reasonable steps to investigate the underlying incident and cooperate fully with law enforcement or financial regulatory authorities.

4.6.2 Prohibited Fraudulent Conduct

Users are strictly prohibited from creating, promoting, or participating in any event, or fundraising activity that is false, deceptive, or designed to solicit financial contributions via misrepresentation. Prohibited actions include, without limitation:

Constructing fictitious milestone events, causes, or emergency scenarios.
Falsely claiming that funds are directed toward a verified charity or personal emergency.
Impersonating any natural person, corporate entity, or charitable institution.
Misrepresenting the end-use or allocation of cash gifts; or
Utilizing manipulated, fabricated, or deep-faked imagery, text, video, or documentation to induce users to execute financial gifts.

4.6.3 Rights of Investigation and Account Forfeiture

Celebut reserves the right to investigate any platform activity where a breach of these provisions is reasonably suspected. During an investigation, we may restrict visibility, freeze cash gifts, or suspend associated user accounts.

Upon a formal finding of fraud or deception, Celebut may permanently delete the responsible accounts, remove the offending events, withhold or recover unpaid funds, permanently decline future access to gifting features, and report the transaction history to law enforcement, payment networks, or regulatory agencies.

Users who knowingly engage in fraudulent solicitation face absolute account termination, total forfeiture of any unpaid platform balances, and potential civil or criminal prosecution by relevant authorities. Users remain personally liable for any losses or damages caused by their misrepresentations. Celebut does not endorse any event and makes no representation as to the legitimacy of any request for cash gifts.

4.7 Circumvention Prohibitions (Off-Platform Fees)

To ensure systemic security, support anti-money laundering frameworks, and protect the financial integrity of the platform, all celebratory gifts represented as originating through or associated with Celebut must be fully processed using the internal payment channels provided.

You are strictly prohibited from:

Utilizing the Services to solicit, redirect, or encourage financial gifts to be executed outside the platform's ecosystem in a manner designed or likely to circumvent payment architectures, verification protocols, security oversight, or applicable platform transaction fees; or
Misrepresenting independent, off-platform financial transactions as gifts processed through Celebut.

Celebut reserves the right to remove, block, or disable any User Content containing hyperlinks, routing instructions, or text references to unauthorized external payment methods. Where off-platform transactions create operational risks regarding fraud, chargebacks, or data breaches, Celebut reserves the right to suspend or terminate the offending user's account and report the activity to competent financial authorities.

4.8 Third-Party Resources and Hyperlinks

The Services may contain promotional content, advertisements, hyperlinks, or integrations with third-party web domains, applications, software, cookies, or services that are entirely independent of Celebut. These third-party resources are governed exclusively by their own terms of service and privacy frameworks. Celebut does not control, monitor, endorse, or accept liability for the functionality, safety, compliance, or accuracy of third-party systems or resources. You access and use these external assets at your own risk.

5. User Code of Conduct and Platform Commitments

You explicitly covenant and agree that you will not engage in, support, facilitate, or encourage others to engage in any of the following prohibited behaviors on the Services:

Breach of Terms: Violating these Terms or any applicable supplemental rules.
Illegal Activity: Sharing or engaging in any conduct that is unlawful, deceptive, discriminatory, or fraudulent.
Infringement of Intellectual Property: Uploading, posting, or distributing content that you do not legally own or possess the express licensing rights to share. You must not infringe the copyright, trademark, patent, trade secret, or other proprietary rights of any third party, nor distribute counterfeit or pirated goods.
Malicious Code and System Interruption: Uploading viruses, trojans, worms, logic bombs, or malicious software code, or deploying automated spam. You must not execute actions that overburden, disable, impair, or degrade the performance, security, appearance, or proper operational infrastructure of the Services.
Unauthorized Data Extraction (Data Mining): Accessing, scraping, or collecting data from our platforms via automated means (such as bots, spiders, or scrapers) without our prior written authorization, regardless of your authentication or login status. Celebut explicitly reserves all intellectual property rights against text and data mining.
Credential Misappropriation: Soliciting, proxying, requesting, or harvesting usernames, passwords, or security authentication tokens belonging to other users.
Commercialization of Platform Data: Selling, licensing, leasing, or purchasing any data extracted or obtained from Celebut or its backend services, irrespective of whether such data was acquired while authenticated.
Abuse of Channels: Abusing reporting, flagging, dispute resolution, or appeals mechanisms by filing fraudulent, duplicative, bad-faith, or groundless claims.
Circumvention: Bypassing, overriding, decrypting, or attempting to circumvent any technological security measures, firewalls, geo-blocks, or digital rights management controls implemented by Celebut.

5.1 Content Moderation Rights

Celebut maintains the absolute right to remove, block, filter, or hide any content, event, or metadata that breaches these conduct provisions. If we remove or restrict content you have shared, we will notify you and explain your available review options, except where notification is prohibited for legal reasons, technically unfeasible, or where it could expose Celebut to civil liability, compromise active security investigations, or cause harm to our community.

6. Account Suspension, Termination, and Deletion Framework

6.1 Grounds for Suspension or Termination

Celebut reserves the absolute right to suspend, disable, restrict, or permanently delete your account and block your access to the platform if we determine, at our sole discretion, that:

You have clearly, materially, seriously, or repeatedly breached these Terms or associated policies;
You have repeatedly infringed the intellectual property rights of third parties;
Your registration parameters remain unconfirmed, or your account has been abandoned and remains entirely inactive for an extended period;
We detect unauthorized third-party access and are unable to conclusively verify your account ownership; or
We are compelled to execute termination to comply with an active legal mandate, court order, or regulatory decree.

Where such termination occurs, Celebut will provide notice and a review process unless doing so exposes the platform to immediate legal liability, harms other users, compromises the integrity of platform systems, or violates a direct law enforcement order.

6.2 Voluntary Account Deletion and Retention Regimes

You may request the voluntary deletion of your account at any time through your profile settings. Upon account deletion, content posted to your personal account will be scrubbed from active systems. However, please note the following exceptions:

Collective and Administrative Content: Account deletion does not automatically purge content you posted as an administrator of a page, or content created collectively with others (such as shared photo albums), which will remain visible to other group members.
Transaction Histories: Users who have celebrated you or gifted you may retain complete structural logs of these interactions within their personal transaction records.

6.3 Statutory 90-Day Retention Exceptions

Content may not be fully purged from backup systems and archives within the standard 90-day window following account deletion under the following circumstances:

Active Third-Party Licensing: Where your content has been utilized by other users under the active platform license and they have not deleted it, the license persists until they execute deletion.
Technical Limitations: Where system architectural limits require a longer period to complete data overwriting, the deletion will be completed as soon as technically feasible.
Investigations and Security: Where immediate purging would impair our capability to detect, investigate, or prosecute illegal activities, terms violations, or systemic abuses; protect the safety, security, and physical integrity of our employees, systems, and users; or construct legal defenses.
Statutory Compliance: To comply with financial record-keeping laws, anti-money laundering tracking, or standard evidence preservation laws.
Judicial and Administrative Requests: To comply with an active subpoena, warrant, or request issued by a judicial authority, law enforcement agency, or administrative government office. Data retained under these exceptions will be preserved only for the duration legally required to fulfill the specific retention purpose.

7. Intellectual Property and Device Permissions

7.1 Restrictions on Celebut Proprietary Assets

If you utilize content covered by intellectual property rights owned by Celebut (including our proprietary graphics, interface designs, audio assets, videos, or brand sounds), Celebut retains exclusive ownership of all such assets. You may only utilize our copyrights, trademarks, or proprietary layouts as expressly permitted by our brand guidelines or via prior written consent.

You must not decompile, reverse engineer, disassemble, translate, modify, create derivative works of, or attempt to extract or harvest the source code of our software and products, unless an exception applies under mandatory applicable law or open-source licensing regimes. Celebut reserves all rights not expressly granted to you. We also reserve the right to dynamically change your account username under reasonable circumstances (such as if a third party asserts a valid legal claim to a trademarked handle that does not align with your legal identity).

7.2 Device Permissions and Diagnostics

To deliver, optimize, secure, and update the Services, Celebut requires specific platform permissions to access and collect operational telemetry directly from your hardware device. By downloading our application or using the platform, you explicitly grant Celebut the right to interact with and collect device-specific information, which may include your Internet Protocol (IP) address, hardware device identifiers, operating system variants, and network data metrics.

Furthermore, where functionally required by the platform to upload files, curate images, or initialize communication parameters, you agree to toggle and grant Celebut native access permissions to your device's local photo gallery, storage directory, and camera modules. You can revoke these permissions via your operating system controls at any time, though doing so may severely restrict your access to platform features.

7.3 Software Updates

If you download or utilize our proprietary software or mobile applications, you hereby grant Celebut permission to automatically download and install operational software updates, patches, and feature enhancements to optimize stability and security.

7.4 Feedback and Idea Submissions

We welcome feedback, suggestions, and feature critiques. By submitting feedback, you acknowledge and agree that Celebut may utilize your suggestions, ideas, or comments without any restriction, commercial obligation, financial compensation, or duty of confidentiality to you.

8. Disclaimers, Warranties, and Limitation of Liability

8.1 Professional Diligence and Force Majeure

Celebut covenants to exercise reasonable professional diligence in provisioning the platform and maintaining a secure, error-free environment. Provided we have acted with standard professional diligence, Celebut does not assume responsibility or liability for:

Losses not directly caused by our specific breach of these Terms;
Indirect losses that were not reasonably foreseeable by both parties at the time of entering into this contract; and
Disruptions, delays, or failures arising from events beyond our reasonable control (Force Majeure).

8.2 Comprehensive Warranty Disclaimer

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED STRICTLY ON AN "AS IS" AND "AS AVAILABLE" BASIS. CELEBUT AND ITS CORPORATE AFFILIATES EXPLICITLY DISCLAIM AND EXCLUDE ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR ORAL, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.

WITHOUT PREJUDICE TO STATUTORY WARRANTIES OR MANDATED CONTENT MODERATION LAWS IN YOUR JURISDICTION, CELEBUT MAKES NO REPRESENTATION OR WARRANTY THAT:

THE SERVICES WILL MEET YOUR SPECIFIC EXPECTATIONS OR COMPLIANCE REQUIREMENTS;
THE SERVICES WILL OPERATE WITHOUT INTERRUPTION, OR BE TIMELY, SECURE, OR COMPLETELY ERROR-FREE;
THE DATA, CONTENT, METRICS, OR RESULTS OBTAINED FROM PLATFORM USE WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; OR
THIRD-PARTY DATA, DIRECTORIES, VENDOR STORES, AND ADVERTISEMENTS ARE LEGITIMATE OR COMPLETE.

8.3 Absolute Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT CELEBUT, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR EXEMPLARY DAMAGES;
LOSS OF CORPORATE OR PERSONAL PROFITS OR REVENUE;
LOSS OF COMMERCIAL GOODWILL, REPUTATION, OR USE;
LOSS, CORRUPTION, OR BREACH OF USER DATA; OR
OTHER INTANGIBLE LOSSES RESULTING DIRECTLY OR INDIRECTLY FROM:
1. THE ACCESSIBILITY, USE, OR THE INABILITY TO USE THE SERVICES, INCLUDING ANY INTEGRATED ARTIFICIAL INTELLIGENCE (AI) FEATURES;
2. THE COSTS ASSOCIATED WITH THE PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES ARISING FROM TRANSACTIONS ENTERED INTO THROUGH THE PLATFORM;
3. PROMOTIONS, CONTESTS, PRIZES, OR REWARDS MADE AVAILABLE VIA THE SERVICES;
4. UNAUTHORIZED ACCESS TO, ALTERATION OF, OR INTERCEPTION OF YOUR TRANSMISSIONS OR DATA SECTOR;
5. STATEMENTS, CONDUCT, ACTIONS, OR OMISSIONS OF ANY THIRD-PARTY ON THE SERVICES; OR
6. ANY OTHER SYSTEMIC MATTER RELATING TO THE SERVICES.

9. Governing Law and Dispute Resolution

9.1 Consumer Dispute Resolution

If you access the Celebut platform as a consumer, any claim, dispute, or cause of action arising out of or relating to these Terms or your platform usage shall be resolved in any competent court within the country of your main residence that holds jurisdiction over the dispute. The domestic laws of your country of main residence will apply to such disputes without regard to conflict of law provisions.

9.2 Commercial and Business Dispute Resolution

If you access, browse, or utilize the platform in any commercial, business, group, or corporate capacity, or if an entity brings a legal claim on your behalf, you explicitly agree that any such claim, controversy, or dispute must be resolved exclusively within a competent court of proper jurisdiction in your country of residence, provided Celebut is formally registered as a corporate entity within that jurisdiction.

10. Miscellaneous Provisions

10.1 Updates to these Terms

Celebut continually develops new features to optimize the platform experience. Consequently, we reserve the right to amend or update these Terms from time to time to accurately reflect our operational adjustments, ensure user security, or align with evolving global legal regulations.

We will only modify these provisions if they are no longer complete, appropriate, or if required for safety, security, or regulatory compliance. We will provide you with at least 30 days' advance notice of any material changes (via email or internal platform notifications) to allow you to review the revised terms before they take effect, unless immediate implementation is required by statutory law.

Continued access to or use of the Services after the effective date constitutes your binding acceptance of the updated Terms.

If you do not agree to the revisions, you must terminate this agreement by deleting your account.

10.2 Supplemental Terms

Specific subsets of services offered by Celebut may be governed by localized or supplemental terms. If you interact with those specific services, you will be provided an opportunity to review and agree to those supplemental terms, which will automatically become integrated into this legal agreement.

10.3 Severability and Non-Waiver

If any section, clause, or specific provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, or completely unenforceable, that specific portion will be deemed amended to the minimum extent necessary to render it valid and enforceable. If it cannot be made enforceable, it shall be severed from the contract, and the invalidity of that provision shall not affect the full force, validity, and enforceability of the remaining portions of these Terms, which shall persist in full effect.

The failure of Celebut to strictly enforce or exercise any right or provision of these Terms shall not be construed as a waiver of such right or a waiver of any subsequent breach. Any valid amendment or waiver must be executed explicitly in writing and signed by an authorized representative of Celebut.

10.4 Transfer of Rights and Assignments

You are strictly prohibited from transferring, assigning, or delegating your rights or obligations under these Terms to any third party without obtaining prior written consent from Celebut. Celebut retains the unrestricted right to freely assign, transfer, or delegate all of its rights, titles, and obligations under these Terms, in whole or in part, without notice or consent, in connection with a corporate merger, acquisition, restructuring, sale of corporate assets, or by operation of law.

10.5 Account Memorialization and Legacy Contact

Users may designate a specific individual (a "Legacy Contact") to manage their account profile in the event that the account is officially memorialized following the user's death or permanent incapacity. If enabled within your account configuration panel, only your designated Legacy Contact, or an individual explicitly identified in a valid will or similar probate document expressing clear consent, will be authorized to seek limited informational access regarding your account parameters post-memorialization.

10.6 No Third-Party Beneficiaries

These Terms are executed strictly for the benefit of the contracting parties. Nothing contained herein, whether express or implied, is intended to or shall confer any third-party beneficiary rights, remedies, or causes of action upon any other natural person or entity.
